Thank you for using vizrm, a service provided by CodeBriada UG. The Terms of Service (hereinafter called “the Terms”) describe the terms and conditions governing the use of the vizrm web application and services as well as all content, products or services delivered through vizrm.com or it’s sub-domains (hereinafter cumulatively referred to as “the Service”). 

The Terms are offered for your acceptance without modification. The Terms include any herein formulated conditions and referred rules, policies and guidelines (including but not limited to our privacy policy) and any future modifications thereof. The Terms supersede any prior agreements between you and us (including, but not limited to, any prior versions of the Terms of Service). 

When accepted (as defined below), the terms form a legally binding contract between you (herein referred to as “customer”) and CodeBriada UG (herein referred to as “CodeBriada”). In case of entering into the terms on behalf of an organization, you represent that you have the legal authority to bind that organization to the Terms (in which case the organization you are representing shall be referred to as “customer” hereinafter). 

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, AND/OR OTHERWISE USING THE VIZRM SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, DO NOT ACCESS, BROWSE OR OTHERWISE USE THE VIZRM SERVICE. 

CodeBriada may decide to suspend or terminate access to the Service to anyone who violates the Terms at any given point in time. 

We reserve the right at any time to: 

• Change the terms. 

• Change the Service, including the elimination or discontinue of content or features from the Service, the restriction or limitation of the hours of availability or the amount of permitted use. 

• Change any charges or fees for the use of the Service, including the introduction of new or increased fees or charges for the use of the Service in general or any of its features. 

Any of these changes can be provided at any time with immediate effectivity by any means including but not limited to through publication in the Service or via e-mail. Continued use of the Service after such notice will be deemed acceptance of these changes. Customer agrees to sign a non-electronic version of the Terms. Disobedience to the Terms will lead to the termination of customer’s account.  

Customer’s usage right of the Service in compliance with these terms is limited, non-transferrable and non-exclusive. The use of the Service is at the customer’s own risk and may be subject to local law. 

Intellectual Property 

CodeBriada is the singular owner of the Service. Customer is under no circumstances allowed to copy, reproduce, mirror, alter, modify or sell the Service without explicit written consent of CodeBriada. 

Warranty Disclaimer 

CodeBriada holds no responsibility for inappropriate or illegitimate use of the Service. 

The Customer agrees to only use the Service to handle data of persons who gave their permissions to use, copy and store their personal data to customer. 

The Service is provided to the customer “as is” without any warranties of any kind neither expressed or implied. To the fullest extent permissible pursuant to applicable law, CodeBriada and its affiliates, suppliers, sponsors, and agents disclaim all warranties, express or implied, including, but not limited to, the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement neither its subsidiaries, affiliates, sponsors, suppliers nor agents makes any representation as to the results to be obtained from use of the site or the site-related services. 
CodeBriada and its affiliates, suppliers, and agents will attempt to provide the best quality of service when possible, including concerns like availability, reliability and security, but do not warrant that Customer’s use of the Service will be completely uninterrupted, error-free, or secure. No opinion, advice, or statement of CodeBriada or its affiliates, suppliers, agents, users, or visitors, whether made in the Service, or otherwise, shall create any warranty. 
Customer acknowledges his, her or their responsibility for obtaining and maintaining any computer hardware or other equipment needed to access and use the Service, and all charges related thereto.  
Customer assumes total responsibility and risk for using the Service and their reliance thereon. 
CodeBriada and its owners, contractors, affiliates, suppliers, advertisers, agents or sponsors are not responsible or liable for any indirect, incidental, consequential, special, exemplary, punitive or other damages under any contract, negligence, strict liability or other theory arising out of or relating in any way to the Service.  
Customer’s sole remedy for dissatisfaction with the Service is to stop using it.  
CodeBriada is not responsible nor liable for any inappropriate use of the Service which may result in damage, cause harm or violate any terms of use of any parties involved. 

Terms of Payment 

Fees will be billed in advance on a monthly or yearly basis and are non-refundable. There will be no refunds or credits for partial months, account upgrades or downgrades, or for months unused with an open account unless billed in error. 

We reserve the right to change fees upon thirty (30) days of notice. Such notice may be provided at any time by posting the changes to the Service or by e-mail. 

End of Term, Cancellation 

Customer is solely responsible for the proper cancellation of the obtained account.  
The account may be canceled at any time by both parties.  

E-mail or phone requests to cancel an account are not considered cancellation unless confirmed by CodeBriada in written form. 
Customer will not be charged after cancellation. There are no charges for cancellation. 
In the event of cancellation or termination, customer’s account will be immediately disabled. The customer does not have any right to recover their account or information once an account is closed.  
CodeBriada reserves the right to retain the data provided by customer for legal purposes if needed. 
CodeBriada further reserves the right, but is under no obligation, to refuse service to anyone and close any accounts without notice for any or no reason at all. 

Passwords and Accounts 

Customer is required to use the credentials associated with their account in the Service. Customer is responsible for the confidentiality and use of passwords. 
Customer agrees to not distribute, transfer or resell their access to the Service to any third party.  
Customer agrees to notify CodeBriada immediately of any unauthorized use of their account(s). CodeBriada has no responsibility for any losses due to stolen or hacked passwords. 

Indemnification 

Customer will, at their expense, indemnify defend and hold CodeBriada harmless from any and all demands, liabilities, claims or expenses made against CodeBriada by any third party due to, or in connection with customer’s use of the Service. 

Force Majeure 

Neither party will be responsible for failure or delay of performance from any cause beyond our control. 

Amendments and Changes to the Service 

Unless explicitly stated otherwise, any new features enhancing the Service shall be subject to the Terms. 

CodeBriada reserves the right to modify the Service or parts of it or terminate the operation of the Service at any time without notice for any reason. 

CodeBriada reserves the right to pause operations of the Service for the performance of routine maintenance, fixes or any other changes at any time without notice.
